I. WEBSITE TERMS AND CONDITIONS
1. Acceptance
By accessing and / or using the services and / or products provided on the sites tribalgatheringlab.com and / or webstore.tribalgatheringlab.com and/or any other associated sites in the present or in the future (the "Service") owned by Ocean Lake, Inc., traded as trading as Tribal Gathering Lab from now also known as THE COMPANY, THE USER, of legal age, understands, accepts and agrees freely and willingly to be bound by the terms and provisions of this agreement and comply with those of third parties as well in case needed.
Also, by accessing and/or using these services and / or accessing the particular products, THE USER is subject to any rule and/or guide of corresponding use that has been; or to be published for at said services and/or products, either through these and/or through any other link in where guidelines and/or content in force and governing the relationship between Ocean Lake, Inc., Inc and THE USER are stipulated.
Any action engaged and/or participation by THE USER in this service and/or acquisition of products will constitute acceptance of this agreement and to any conditions to which this agreement refers. If THE USER does not agree to comply with the above, they must not use the service; the mere use is and will be understood as acceptance of them all, including any updates performed by the service administrators or anyone in charge.
Likewise, THE USER agrees that these terms and conditions may vary at the discretion of Ocean Lake, Inc.. THE USER also acknowledges and accepts that these terms and conditions are valid for the products and / or services of Ocean Lake, Inc., Inc and to which they voluntarily access.
Accessing www.tribalgathering.com, geostore.tribalgathering.com or other associated sites, owned by GeoParadise, Inc., will cause THE USER to accept and comply with their terms & conditions, plus their privacy policy as well, and the applicability between terms and conditions; as well as in the case of privacy policies, it will be understood as viable and any controversy regarding its application must be indicated by the interested party and evaluated prior to any administrative and/or judicial action, to allow both GeoParadise, Inc. and Ocean Lake, Inc., may make the necessary adjustments if they consider that there may be a controversy.
In the event that it is decided that there is no controversy, and the request is not modified at the request of the interested party, the latter may go to the administrative and/or judicial instances at their discretion and charge to request that, the administrations and legislations of each country being competent. for each particular case; That is, GeoParadise, Inc. will be protected under the laws and administrations of the United States of America; and, Ocean Lake, Inc. will be protected under the laws and administrations of the Republic of Panama.

The Service may contain links to third-party web sites or services that are not owned or controlled by Ocean Lake, Inc.
Ocean Lake, Inc. Inc has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. THE USER further acknowledges and agrees that Ocean Lake,Inc., shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.
Neither Ocean Lake, Inc., will be held liable if by using third party websites, THE USER accesses a fraudulent link. THE COMPANY advises THE USER to properly review websites and discriminate against those which look suspicious or/and its content/access is not secure.
THE COMPANY strongly advises THE USER to read the terms and conditions and privacy policies of any third-party web sites and/or services that they visit.
3. Limitation of Liability
In no event shall Ocean Lake, Inc. Inc, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) THE USER's access to or use of or inability to access and/or use the Service; (ii) any conduct and/or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of THE USER´s transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not THE COMPANY have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

THE USER´s use of the Service is at their sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement and/or course of performance.
Ocean Lake, Inc., its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time and/or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet THE USER's requirements.
5. Governing Law
These Terms shall be governed and construed in accordance with the laws of Panama, without regard to its conflict of law provisions.
THE COMPANY's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement regarding the Service BETWEEN THE COMPANY and THE USER, and supersede and replace any prior agreements the parties might have between them regarding the Service.
6. Changes
THE COMPANY reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material THE COMPANY will try to provide at least 15 days notice prior to any new terms taking effect, but the omission to do so, won't be an excuse to hold Ocean Lake, Inc., or any of its subsidiaries, affiliates, and its licensors, liable for any reason. What constitutes a material change will be determined at THE COMPANY's sole discretion.
By continuing to access and/or use The Service after those revisions become effective, THE USER agrees to be bound by the revised terms. If THE USER does not agree to the new terms, they must stop using the Service.

THE COMPANY and its third-party vendors use cookies to inform, optimize and serve ads based on THE USER´s past visits to the Service, this is allowed under artícle 12, Law 81, 2019 of the Republic of Panama.

That information is provided directly to THE COMPANY's third-party payment processors whose use of THE USER's personal information is governed by their Privacy Policy. The Service does not address anyone under the age of 18 ("Children").
THE COMPANY does not knowingly collect personally identifiable information from anyone under the age of 18. If THE USER is a parent or guardian and is aware that their Child has provided THE COMPANY with Personal Data, THE USER must contact and inform THE COMPANY. III. EVENTS
Tribal Gathering Lab is THE COMPANY's premises, a cultural center dedicated to fostering creativity, community, and cultural exchange. By accessing or using its facilities, services, or events, THE USER agrees to comply with the following terms and conditions:
1. General Information
1.1. Opening Hours: Tribal Gathering Lab operates only during special events scheduled in advance. These will be announced in the company websites (www.tribalgatheringlab.com and webstore.tribalgatheringlab.com).
1.2. Age Restrictions: Everyone under the age of 18 must be accompanied by a responsible adult unless otherwise specified for specific events or activities.
1.3. Access and Membership: Access to certain areas or events may be restricted to TG Club members or ticket holders. For some events and membership tiers a minimum TG Lab credit balance might be required to gain free access. The credit must not be older than 30 days. THE MEMBER can add credit at the event and the minimum required is USD $10.00 per member.
1.4 Payments: At all events, THE USER must comply with TG LAB CREDIT PAYMENT SYSTEM, please refer to the section V of the present document accordingly.
2. Rent of Facilities
2.1. Bookings: All room and facility rentals must be booked in advance. Bookings are confirmed only upon receipt of payment. The booking will be ruled by a legal contract between the parties and it is also bound to these terms & conditions plus the policies established so far.
2.2. Payment: Payments for the use of facilities must be made in full at the time of booking unless otherwise agreed. THE COMPANY accepts cash payments or bank transfers via ACH to Banistmo to the account 0114773857 (checking) or to Banco General to the account 04-13-96-197393-2 (savings). Beneficiary name: Ocean Lake, Inc. If the transfer is made from a foreign bank, THE USER must cover all the international transfer fees, including those charged by the receiving bank.
2.3. Cancellations and Refunds: Cancellations must be made at least 30 days in advance prior to the agreed date for the service, in order to receive a full refund. No refunds will be issued for late cancellations or no-shows.
2.4. Liability for Damages: THE USER is responsible for any damage caused to Tribal Gathering Lab's property, equipment, or facilities during their use.
2.5. Liability for misconduct or actions: While THE COMPANY will due diligence the proposed object and/or content/purpose of the activity in order to grant the use of the facilities, any conduct, outcome resulting from actions and/or omissions and its consequences; either legal or moral, will be sole and only responsibility of THE USER and/or any other legal representative that made the booking, and will hold THE COMPANY not liable for any damages, consequences, among other outcomes that might arise of these actions/omission, and will be held responsible for any damages and/or fines that could be place against THE COMPANY by local authorities.
3. Conduct
3.1. Respectful Behavior: THE USER must respect the rights of others, including staff, volunteers, and other attendees. Harassment, discrimination, or any form of abusive behavior will not be tolerated.
3.2. Prohibited Items: Weapons, illegal substances, and hazardous materials are strictly prohibited on the premises.
3.3. Noise Levels: THE USER must maintain a respectful noise level to ensure a comfortable environment. Specific noise restrictions may apply depending on the event or room usage.
4. Health and Safety
4.1. Emergency Procedures: In case of an emergency, THE USER must follow the instructions of Tribal Gathering Lab staff and adhere to all safety protocols.
4.2. Personal Belongings: Tribal Gathering Lab is not responsible for any loss, theft, or damage to personal belongings. THE USER must keep valuables secure at all times.
4.3. Health Requirements: THE USER must comply with any health and safety guidelines, including those related to COVID-19 or other public health concerns in place at the time of the event.
5. Event Participation
5.1. Ticket Sales: Tickets for events at Tribal Gathering Lab are non-transferable, and non-refundable unless the event is canceled or rescheduled. If THE USER cannot attend an event, THE COMPANY provides the option for the ticket to be swapped for a ticket for another event or other service of similar value.
5.2. Event Changes: Tribal Gathering Lab reserves the right to change the lineup, event schedule, or venue at any time. In such cases, efforts will be made to notify ticket holders in advance.
5.3. Photography and Filming: By attending events, THE USER consents to being photographed or filmed. Images and footage may be used for promotional purposes by Tribal Gathering Lab and its partner organizations GeoParadise, Inc. and Wavy Tribe Inc. Under provisions of Law 81, 2019 for Personal Data Protection, by checking the box you authorize the use of any images and/or data for promotional and/or investigation purposes.
6. Privacy
6.1. Personal Data: Tribal Gathering Lab respects THE USER's privacy and is committed to protecting THE USER's personal data. THE COMPANY's Privacy Policy, part of this Terms and Conditions document and available on THE COMPANY´s websites, outlines how it collects, uses, and protects THE USER's information.
6.2. Third-Party Sharing: THE COMPANY will not share THE USER's personal information with third parties without THE USER's consent unless required by law.
7. Amendments
Tribal Gathering Lab reserves the right to amend these terms and conditions at any time. Changes will be effective immediately upon posting on THE COMPANY's websites or on-site. THE USER´s continued use of the facilities and services constitutes acceptance of any changes.
8. Governing Law
These terms and conditions are governed by the laws of the Republic of Panamá. Any disputes arising from the use of Tribal Gathering Lab facilities or services will be subject to the exclusive jurisdiction of the courts in the Republic of Panamá.

IV. TG CLUB MEMBERSHIP PROGRAM
1. Membership Tiers and Perks
THE COMPANY offer three levels of membership, each providing different perks:

Crescent Membership (First Tier) :
- Free access to selected TG Lab events and showcases.
- Discount up to 5% on shuttle services, tickets, and merchandise at the Tribal Gathering Festival
- Access to members-only promotions and early-bird ticket sales.

Full-Moon Membership (Middle Tier) :
- Shuttle Service to TG Festival (15% discount).
- Free access to exclusive members-only events held at Tribal Gathering Lab.
- Complimentary basic tent setup at the Tribal Gathering Music Festival.
- Discount offers on tickets up to 10% for future Tribal Gathering editions.
- Discount offers up to 10% on 24-hour parties at Hippie Beach, TG Lab events and showcases, site services at Tribal Gathering festival and merchandise.

Eclipse Membership (Top Tier) :
- Highest level of access, includes the same benefits as the Full Moon plan, and on top of that: premium festival experiences, enhanced accommodation options, and VIP benefits at events.
- Discount offers up to 15% on shuttle services, tickets, merchandise, food, and beverage at both the Tribal Gathering Festival and Hippie Beach events.
Once you have become a MEMBER (from now on THE MEMBER), by acquiring one of the above-mentioned, you are bounded to the following rules and general content as follows.
2. Membership rules

This is a legal age membership, which means there are no members under 18 years old; they can ‘t obtain or neither apply to a membership. Applicants must have and shown a valid ID to apply and obtain membership.

The membership is non-transferable and valid only for the person registered under the program for the period agreed in these terms & conditions or as it is established in their membership cards/ID’s.

Members must present a valid membership card to avail the discounts and access benefits.

Each member, regardless of tier, accepts to adhere to these terms and conditions and any additional guidelines set forth by THE COMPANY.

Fail to present a valid membership card with a valid ID, grants the right to refuse entry and/or access to benefits established.
3. Event Access and Availability

Free and/or discounted access is subject to event capacity and availability.

Shuttle services and event discounts must be booked in advance, and availability may vary.

Not all events might have free and/or discount access; including events held by third parties in the COMPANY's facilities.
4. Discounts and Promotions

The discounts for each tier apply only to specific events and services as listed.

Discounts cannot be combined with any other promotions or offers unless explicitly stated.
5. Memberships Term, Fees and Payment Options
THE COMPANY offers a annual membership with three payment options for all membership tiers:

Full Payment : One-time upfront payment for the entire membership term.

Quarterly Installments : Four equal payments throughout the year.

Monthly Payments : Twelve monthly payments over the membership term.
Membership fees are non-refundable, and failure to meet payment obligations may result in loss of membership benefits. Pricing for each tier is as follows:

6. Membership Duration, Cancellation and Renewal

Membership perks are valid for one (1) year from the date of purchase or as per the launch campaign period, depending on the acquisition time/date.

Members may cancel their membership at any time by providing written notice to THE COMPANY´s support team. No refunds will be provided for any unused portion of the membership term.

Renewal details and fees will be provided at the end of the membership term and are subject to changes, as well as the benefits.

Benefits ends at 11:59 p.m. of the indicated date; therefore, no period of grace will be given at any time, even if the benefits got suspended during and event/venue, due to the lack of renewal, without exceptions.
7. Changes to Terms

THE COMPANY reserves the right to modify and/or discontinue membership at any time, with prior notice to members. The modification and/or discontinuation of the the membership, will be notified to the email provided by THE MEMBER
8. Liability and Limitations

THE COMPANY is not liable for any losses, injuries, or damages incurred during participation in the program or at associated events.

Members must follow each event's guidelines and code of conduct at all venues, including national laws and regulations.

THE COMPANY will not be held liable for any illegal and/or misdemeanor committed/caused by the member/participant of any type of events.
9. Dispute Resolution

In the event of a dispute related to the membership or its terms, both parties agree to attempt to resolve the matter through informal negotiations.

If the dispute cannot be resolved informally, a hearing-ticket system may be implemented for dispute resolution. The hearing may involve both parties, but final decisions regarding membership access and benefits are at the sole discretion of THE COMPANY.

THE COMPANY has the right to terminate or suspend any membership based on violation of the terms or inappropriate conduct, with or without a hearing, for situations occurred during events or known publicly, in order to avoid hazards/liabilities that might be caused by the member. No reimbursements will be given for revoking memberships. A notification indicating the reasons and the revoque will be informed by email. The member will have 5 days in order to demonstrate that alleged actions that led into the revoke weren’t committed by him/her, no other circumstances will be taken into account towards membership reinstatement. The decision to maintain the revoke relays solely in THE COMPANY decision.

V. TG LAB CREDIT PAYMENT SYSTEM
1. General Information

TG Lab Credit is THE COMPANY own cashless payment system. It helps cashiers to speed up the payment process at the points of sale, reducing waiting time and increasing the security of the transaction. It also allows for a reduced cash dependency onsite, a very practical feature specially at Tribal Gathering festival and other remote events, without any reliable ATM nearby.

TG Lab Credit is needed to be able to buy services and products in all the vending points onsite at any venues/events held by THE COMPANY. THE USER/THE MEMBER can utilize TG Lab Credit directly using their bracelet or membership card chip at:

- Pirate Bar
- Mobile Bar
- Bazaar
- Hub
- TRIBAL GATHERING festival:
- Restaurant
- Pizzeria
- Bars
- Chai Shop
- Juice Shack
- Tribal Gathering Bazaar
- Wellness Area
- Glamping Reception (accommodation services)
- Hub Services Desk (shuttles, secure storage, device charging, internet access, “Village Plata” to use at the vendors market)
- Other events organized by THE COMPANY

2. TG Lab Credit Workflow Overview

THE COMPANY first receives a pre-payment from THE USER/THE MEMBER, what it's called a "Credit Top-Up". THE COMPANY stores the TG Lab Credit current balance safely in the customer's file on THE COMPANY´S database. In events where anonymous check-ins are permitted, THE USER can choose to be provided with an unnamed account and rfid bracelet/card. In these cases THE USER will not be able to re-claim their unused credit balance in case the bracelet/card is lost or stolen. In the case of users who are members of the TG Club, THE MEMBER holds a bracelet and/or card with their names. THE COMPANY will not share THE USER personal data with any external organization. Only Ocean Lake, Inc. and, in certain events like Tribal Gathering, the US Public Charity GeoParadise, Inc., as the co-producer, are able to access this data. In case of loss, THE MEMBER must report it to THE HUB. The purchases made with THE MEMBER´s credit held in the card/bracelet prior to its report are solely the responsibility of THE MEMBER and won't be reinstated as credit.

THE USER/THE MEMBER swipes the event bracelet or membership card at a point of sale during checkout to identify him/herself. The cashier can see the amount of credit in THE USER's / THE MEMBER’s account instantly.

If there is enough credit in the account, the cashier will apply it to pay for THE USER's / THE MEMBER’s purchase. THE USER/THE MEMBER receives the service or product and the customer’s TG Lab Credit account will be debited accordingly. If there is not enough credit, THE USER/THE MEMBER will need to make a new Credit Top-Up to complete the purchase.

To use TG Lab Credit at third party Market Stalls and Blankets at some of THE COMPANY events, THE USER/THE MEMBER needs to exchange some of their TG Lab Credit for Village Plata (rfid-enabled physical coins and barcoded notes) and pay the vendors with this community currency. Village Plata is only valid for payments at the third party market vendors and cannot be returned or refunded back to TG Lab Credit nor cash.
3. Credit top-up methods

At Tribal Gathering LAB events, including Tribal Gathering festival: THE COMPANY will provide one or more top-up desks where THE USER can use cash, credit/debit card or Yappy to top up their TG Lab Credit account.

Online: THE USER can top-up their account online by buying TG Lab credit at https://webstore.tribalgatheringlab.com/credit-top-up using Paypal, bank transfer, or Yappy as the form of payment. Bank transfer and Yappy payment methods need manual confirmation so the top-up will not be applied instantly. THE USER needs to submit the payment confirmation by email to info@tribalgatheringlab.com and a member of THE COMPANY's staff will review and approve the top-up as soon as possible. At Tribal Gathering (the festival) THE COMPANY will provide free 10min internet access vouchers at The Hub for customers who need it, to facilitate online self top-ups. THE COMPANY will also provide a self-service kiosk for those with no internet enabled devices onsite.
4. Other legal considerations

Scope of Applicability : Unless otherwise advertised, TG Lab Credit is only valid to use for Point of Sale payments at Tribal Gathering, the annual inter-cultural event advertised at www.tribalgathering.com, and at Tribal Gathering LAB venue and/or events.

Third party liability : Ocean Lake, Inc. is providing the cashless payment services (TG Lab Credit and “Village Plata”) to third party market vendors, therapists and healers, but in no way will Ocean Lake, Inc. nor GeoParadise, Inc. (co-producer of some of the events), be liable for any customer claims arising in relation with any of the products and services provided by those third party vendors. These disputes will be handled directly by the vendor.

Credit transfers and refunds : TG Lab Credit is personal, non transferable and non refundable. For security reasons, THE COMPANY only allows participants to swipe a bracelet that is attached to their wrists and it has not been cut-off or removed from another customer's wrist. Any left over credit remaining in the customers accounts at the end of an event can be used at “Tribal Gathering LAB” in Panama city or in other events hosted by Ocean Lake Inc.

Credit Expiration : Any remaining credit that’s left unused for a year, will be donated to the GeoParadise Charitable Fund and used to finance projects throughout the year. Visit geoparadise.org for more information on these projects.
